1. Acceptance of Terms

By accessing or using Actionpackd ("the Service"), you agree to be bound by these Terms of Use. If you do not agree to these terms, do not use the Service.

2. Description of Service

Actionpackd provides a platform for businesses to send automated WhatsApp messages, notifications, and broadcasts through the Meta WhatsApp Cloud API. The Service includes campaign management, contact management, message templates, analytics, and AI-powered conversational agents.

3. Account Registration

• You must provide accurate and complete registration information.
• You are responsible for maintaining the security of your account credentials.
• You must be at least 18 years old to use the Service.
• One person or business entity per account unless otherwise agreed.

4. Acceptable Use

You agree NOT to use the Service to:

• Send spam, unsolicited messages, or messages without proper consent, including bought or scraped contact lists
• Violate Meta's WhatsApp Business Policy or Commerce Policy
• Send illegal, harmful, threatening, abusive, or harassing content
• Impersonate any person or entity
• Distribute malware or engage in phishing
• Violate any applicable local, state, national, or international law
• Infringe upon intellectual property rights of others

5. WhatsApp Business Policy Compliance

You are responsible for ensuring your use of the Service complies with Meta's WhatsApp Business Policy, including obtaining proper opt-in consent from message recipients. Violation of Meta's policies may result in suspension of your WhatsApp Business Account and/or termination of your Actionpackd account.

6. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We are not liable for any downtime or service interruptions.

7. Fees and Payment

• Free tier includes limited message volume as described on our pricing page.
• Paid plans are billed monthly or annually as selected.
• WhatsApp conversation charges from Meta are passed through at cost.
• Refund eligibility is governed by our Refund Policy.

8. Intellectual Property

The Service, including its original content, features, and functionality, is owned by Actionpackd and is protected by copyright, trademark, and other intellectual property laws. You retain ownership of any content you upload or create through the Service.

9. Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms, Meta's policies, or for any other reason at our sole discretion. You may cancel your account at any time through your account settings or by contacting support.

10. Limitation of Liability

To the maximum extent permitted by law, Actionpackd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities arising from your use of the Service.

11. Indemnification

You agree to indemnify and hold harmless Actionpackd from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

12. Governing Law

These Terms shall be governed by the laws of India. The courts at Chennai, Tamil Nadu, have jurisdiction, subject to any non-waivable rights you have.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by posting the updated Terms on this page. Your continued use of the Service after changes constitutes acceptance of the modified Terms.

15. What the services include

Actionpackd offers the WhatsApp Business Platform (API, templates, and Flows), Verv, custom and vertical AI agents, and cohort programmes. Studio at app.actionpackd.com is invite-only and is not included with a Messaging API signup. You must be 18 or older, and if you sign up for a business you confirm you have authority to bind it.

16. WhatsApp and your opt-ins

If you use Actionpackd to message your own customers, you must follow Meta's WhatsApp Business Messaging Policy and Commerce Policy. You own those opt-ins. Meta fees are passed through. Meta may suspend a number. Actionpackd's own lead chats are covered by the privacy notice.

17. AI outputs

AI output is a draft. Review it before you send it or rely on it. It is not legal, financial, medical, or other professional advice.

18. Data roles

For agents you run for your customers, Actionpackd processes personal data on your instructions. For Actionpackd's own leads, we are the data fiduciary. Client data stays the client's. The config-driven platform stays Actionpackd's.
